Terms of Use

These Terms of Use govern access to and use of the PromoStars platform. Please also review our Privacy Policy and POPIA & PAIA Manual.

PromoStars is an online discovery, presentation, and enquiry platform for promotional models, brand ambassadors, hostesses, event staff, agencies, brands, campaign managers, event organisers, and related users in South Africa.

PromoStars is built and operated by Leobot Electronics, a South African software and platform-development business. References to “PromoStars”, “we”, “us”, or “our” in these Terms include the PromoStars platform and its owner/operator, where the context requires.

By accessing, browsing, registering on, uploading content to, requesting models through, or otherwise using PromoStars, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the platform.

1. Platform Role

PromoStars provides a platform for discovery, presentation, shortlisting, and enquiry routing. Unless expressly agreed in a separate written agreement, PromoStars is not an employment agency, temporary employment service, labour broker, modelling agency, payroll provider, tax adviser, event staffing contractor, or party to any booking, campaign, event, employment, or commercial arrangement concluded between users.

Any booking, fee, attendance arrangement, campaign instruction, performance requirement, payment, tax obligation, employment status, independent-contractor arrangement, safety arrangement, or dispute arising from a connection made through the platform remains the responsibility of the relevant parties.

2. Acceptance of Terms

By creating an account, browsing profiles, submitting a profile, uploading content, using the booking cart, requesting models, responding to an opportunity, contacting another user, or otherwise using PromoStars, you confirm that you have read, understood, and accepted these Terms and all related platform policies.

3. Eligibility and Age

You may only use PromoStars if you are legally capable of entering into binding arrangements and complying with these Terms. Users who create public talent profiles, apply for opportunities, or communicate with clients or agencies through the platform must be at least 18 years old, unless PromoStars has expressly approved a different arrangement in writing and a competent parent or legal guardian has provided all required consent.

PromoStars may refuse, restrict, suspend, or remove any account where age, identity, authority, consent, or legal capacity cannot reasonably be verified.

4. User Accounts

To access certain features, you may need to create an account. You are responsible for:

  • Providing accurate, current, and complete information.
  • Keeping your login credentials secure and confidential.
  • Restricting unauthorised access to your account.
  • All activity that occurs under your account, unless caused by our proven fault.
  • Promptly updating information that becomes inaccurate, outdated, or misleading.

PromoStars may suspend, restrict, remove, or terminate accounts where information is false, misleading, incomplete, unlawful, abusive, unsafe, unauthorised, or otherwise in breach of these Terms.

5. Profiles and User Content

PromoStars allows users to submit content such as names, aliases, biographies, measurements, service categories, city information, ratings, profile indicators, contact details, social links, photographs, availability-related information, and other profile or campaign-related material.

You remain responsible for all content you upload, publish, or submit. You warrant that:

  • You own the content or have the right to use and share it.
  • You have permission from every identifiable person appearing in submitted images or content.
  • The content is accurate and not materially misleading.
  • The content does not infringe any third-party rights.
  • The content is not unlawful, defamatory, abusive, obscene, deceptive, exploitative, or unsafe.
  • The content does not misrepresent your age, identity, experience, availability, qualifications, or affiliation.

6. Public Visibility and Profile Sharing

PromoStars is designed to promote discovery and opportunity matching. By using the platform, you acknowledge that profile information you choose to publish may be visible to the public, search engines, registered users, agencies, brands, event organisers, campaign managers, or selected business users, depending on your profile settings and platform configuration.

You further acknowledge that PromoStars may display, format, share, export, or include your public profile information, images, service categories, profile links, and related details in discovery pages, shortlists, PDF profile packs, enquiry workflows, agency-review workflows, client-consideration workflows, search features, and promotional or operational platform features.

You are responsible for ensuring that the information you place on your profile is information you are willing to have viewed, indexed, downloaded, shared, shortlisted, or considered in this platform context.

7. Client, Agency, and Event Enquiries

Clients, agencies, brands, event organisers, and other business users may use PromoStars to discover, shortlist, request, contact, or review promotional talent. Submitting an enquiry does not guarantee availability, acceptance, attendance, pricing, suitability, exclusivity, performance, or successful booking.

Business users are responsible for providing lawful, safe, accurate, and complete event information, including location, dates, duties, hours, dress requirements, payment arrangements, safety requirements, age-sensitive requirements, and any other material conditions.

8. No Guarantee of Work, Placement, or Income

PromoStars does not guarantee that any model, ambassador, hostess, agency, client, event organiser, or other user will receive bookings, placements, campaign work, agency representation, client responses, income, exposure, or any particular commercial outcome through the platform.

9. Payments, Taxes, PAYE, UIF, SDL, VAT, and Employment Responsibilities

Unless expressly agreed in a separate written agreement, PromoStars does not collect, hold, guarantee, process, administer, or enforce payments between users. Payment terms are agreed directly between the relevant parties.

PromoStars is not responsible for determining whether any person is an employee, independent contractor, temporary worker, supplier, agent, or representative of another party. Each party is responsible for its own legal, accounting, payroll, tax, PAYE, UIF, SDL, VAT, withholding, invoicing, recordkeeping, and labour-law obligations.

Users should obtain independent legal, labour, accounting, or tax advice where needed.

10. Safety, Conduct, and Due Diligence

PromoStars may provide discovery and presentation tools, but it does not guarantee the safety, conduct, honesty, reliability, suitability, professionalism, availability, or performance of any user or third party.

Models and talent should assess opportunities carefully, confirm event details, avoid unsafe arrangements, and use their own judgement before accepting work. Clients and agencies should perform appropriate screening, verification, contracting, supervision, and safety checks before engaging anyone.

11. Acceptable Use

You agree not to use PromoStars to:

  • Break any law or regulation.
  • Impersonate any person or misrepresent identity, age, qualifications, affiliation, availability, or authority.
  • Upload false, misleading, stolen, manipulated, exploitative, or unauthorised content.
  • Harass, exploit, threaten, abuse, discriminate against, or endanger other users or third parties.
  • Solicit or facilitate unlawful, unsafe, adult, exploitative, or inappropriate services.
  • Upload malicious code, attempt unauthorised access, or interfere with platform security.
  • Scrape, copy, harvest, sell, or mass-download platform data without written permission.
  • Use the platform in a way that could damage, disable, overload, or impair its operation.
  • Use the platform for spam, scams, fraud, phishing, deceptive commercial practices, or unlawful solicitation.
  • Bypass platform restrictions, moderation decisions, security features, or access controls.

12. Ratings, Tags, Indicators, and Platform Features

PromoStars may display ratings, profile indicators, popularity signals, service tags, featured labels, city/service categories, availability-style labels, administrative notes, or other profile-related data derived from user input, platform logic, moderation activity, administrative action, or other internal methods.

These indicators are provided for platform functionality, discovery, and presentation purposes only. They do not constitute a guarantee, verification, warranty, endorsement, employment recommendation, background check, safety clearance, or representation of quality, suitability, reliability, availability, professionalism, or conduct.

13. Licence to Use Submitted Content

By uploading or submitting content to PromoStars, you grant PromoStars a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, adapt, resize, crop, format, publish, display, distribute, index, share, transmit, and otherwise use that content as reasonably necessary to operate, promote, improve, secure, moderate, and provide the platform and related services.

This includes displaying profiles publicly, resizing or formatting images, generating profile cards, creating PDF shortlist packs, showing profile content in search and discovery pages, sharing relevant profile content with third parties for opportunity-related purposes, and using submitted content in moderation, support, legal, and operational workflows.

14. Removal, Moderation, and Suspension

PromoStars may review, edit, restrict, hide, remove, refuse, suspend, or terminate any content, profile, account, enquiry, or submission where it reasonably believes that doing so is necessary to protect users, third parties, the platform, legal compliance, reputation, security, or legitimate business interests.

PromoStars is not required to publish every submitted profile or keep every profile visible indefinitely. Profile approval, featuring, ranking, display order, search visibility, and publication remain subject to platform discretion.

15. Intellectual Property

The PromoStars platform, including its branding, design, layout, text, graphics, software, structure, database structure, workflows, generated pages, non-user-generated content, and platform functionality, is owned by or licensed to PromoStars and is protected by applicable intellectual property laws.

Except as expressly permitted, you may not reproduce, distribute, modify, reverse engineer, scrape, copy, resell, frame, mirror, or commercially exploit any part of the platform without prior written permission.

16. Privacy, POPIA, and PAIA

Your use of PromoStars is also governed by the Privacy Policy and POPIA & PAIA Manual. By using the platform, you acknowledge that personal information may be collected, used, stored, displayed, indexed, shared, corrected, removed, or retained in accordance with those policies and applicable law.

17. Third-Party Links and Services

PromoStars may contain links to third-party websites, social media pages, payment providers, messaging services, analytics tools, hosting providers, client websites, or other external services. These are provided for convenience or platform functionality. PromoStars does not control and is not responsible for third-party content, policies, availability, security, or business practices.

18. Disclaimers

PromoStars is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, PromoStars does not guarantee:

  • That the platform will always be available, uninterrupted, secure, or error-free.
  • The accuracy, completeness, or truthfulness of user-submitted content.
  • The conduct, suitability, legality, availability, reliability, or performance of any user or third party.
  • The success of bookings, introductions, campaigns, enquiries, commercial opportunities, or outcomes.
  • That profile information will remain available, indexed, ranked, visible, or unchanged.
  • That any third-party agreement, payment, tax treatment, or work arrangement is lawful or appropriate.

19. Limitation of Liability

To the maximum extent permitted by law, PromoStars and its owners, operators, affiliates, service providers, contractors, and representatives shall not be liable for indirect, incidental, special, consequential, punitive, reputational, economic, or business loss arising out of or in connection with your use of, or inability to use, the platform.

This includes loss of profits, loss of opportunity, loss of data, business interruption, failed bookings, cancellation, non-attendance, late attendance, disputes, reputational harm, reliance on user-submitted content, unsafe third-party conduct, or payment/tax/employment disputes between users.

Nothing in these Terms excludes or limits liability to the extent that such exclusion or limitation is not permitted by applicable law.

20. Indemnity

You agree to indemnify and hold PromoStars, its owners, operators, affiliates, service providers, contractors, and representatives harmless from claims, liabilities, damages, losses, costs, and expenses arising out of or connected with:

  • Your unlawful use of the platform.
  • Your content, profile information, images, submissions, or enquiries.
  • Your breach of these Terms or any related policy.
  • Your infringement of any third-party rights.
  • Your dealings, agreements, payments, bookings, tax obligations, employment issues, or disputes with other users or third parties.
  • Your failure to obtain proper consent, permission, authority, or rights for submitted content.

21. Changes to the Platform or Terms

PromoStars may modify, suspend, discontinue, restrict, or update any part of the platform or these Terms at any time. Updated terms will be posted on this page. Continued use of the platform after changes take effect constitutes acceptance of the updated Terms.

22. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Republic of South Africa, unless mandatory law requires otherwise.

PromoStars may require information reasonably necessary to verify the identity, authority, or legal basis of any person submitting a legal, account-related, privacy, or access-to-information request.
